Document 1.02 — Definitions
PURPOSE
The Definitions section establishes standardized meanings for terms used throughout the Lifetime Lyrics LLC Operations Manual.
The purpose of this document is to promote consistency, reduce ambiguity, and support uniform interpretation of Company policies, procedures, standards, and related documents.
Unless a policy specifically provides a different definition, the meanings contained in this document apply throughout the Operations Manual.
INTERPRETATION
Unless the context clearly requires otherwise:
- Words in the singular include the plural.
- Words in the plural include the singular.
- References to one gender include all genders.
- Headings are provided for convenience and do not alter the meaning of any policy.
- Examples are illustrative and are not intended to limit the scope of a policy.
- References to laws, regulations, technologies, or third-party providers include future amendments, replacements, successors, or comparable standards, unless otherwise stated.
DEFINITIONS
Lifetime Lyric and Lifetime Lyrics refer to the Company's public-facing brand names and trade names used in connection with its products, services, marketing, and client communications. Unless otherwise indicated, references to these names describe the Company's brand identity and not a separate legal entity.
Affiliate
Affiliate means any entity that directly or indirectly owns, controls, is controlled by, or is under common control with the Company.
Agreement
Agreement means the specific contract, policy, or other Written Agreement into which these Definitions & Interpretation are incorporated, together with all schedules, exhibits, attachments, amendments, and documents incorporated by reference.
AI-Assisted Workflow
AI-Assisted Workflow means any creative, administrative, analytical, production, editing, organizational, or technical process that utilizes artificial intelligence, machine learning, automated software, generative technologies, or similar computational tools under the direction, supervision, selection, modification, review, or control of the Company as part of providing the Services. Use of an AI-Assisted Workflow does not alter ownership of the Company's Intellectual Property or diminish the Company's independent creative contribution.
Applicable Law
Applicable Law means the statutes, regulations, ordinances, court decisions, administrative requirements, and other legal authorities that govern a particular matter based upon the relevant jurisdiction.
Brand Assets
Brand Assets means the Company's identifying names, trademarks, service marks, trade names, logos, word marks, slogans, taglines, domain names, visual identity, typography, color palettes, graphic designs, marketing materials, templates, branding standards, and other identifiers or materials used to identify, distinguish, promote, or represent the Company, whether existing now or developed in the future.
Business Day
Business Day means any day other than Saturday, Sunday, or a federal holiday recognized in the United States unless otherwise specified in a Written Agreement.
Business Records
Business Records means the Company's administrative, accounting, contractual, financial, production, legal, operational, compliance, licensing, tax, and historical records maintained in connection with its business activities.
Catalog Record
Catalog Record means the administrative record maintained by the Company for a Creative Work or Creative Asset. A Catalog Record may include metadata, version history, ownership information, licensing information, distribution history, associated files, and related documentation.
Change in Scope
Change in Scope means a request that materially modifies the agreed Scope of Work, including changes to the project's subject, creative direction, Client Deliverables, revisions, services, timelines, or other material terms. A Change in Scope may require a revised Service Agreement, additional fees, or approval through another applicable Written Agreement.
Change Order
Change Order means a written modification approved by the Company that changes the scope of a Project, Deliverables, pricing, production schedule, Services, or other material terms of an existing Agreement.
Client
Client means any individual, business, organization, estate, family, or other party that purchases, requests, receives, or contracts for services provided by the Company.
Client Deliverables
Client Deliverables means the items provided to a client under an applicable written agreement.
Client Materials
Client Materials means any photographs, videos, audio recordings, voice recordings, documents, letters, journals, writings, stories, memories, names, likenesses, artwork, creative ideas, reference materials, or other information or materials provided by or on behalf of the Client in connection with a Project.
Commercial Use
Commercial Use means any use of a Creative Work or Client Deliverable intended to generate revenue, promote a business, advertise goods or services, support fundraising, enhance a commercial enterprise, or otherwise provide a direct or indirect commercial advantage. Commercial Use includes any use beyond Personal Use unless expressly authorized under an applicable License Agreement.
Company
Company means Lifetime Lyrics LLC, a Texas limited liability company wholly owned by Written For Two, Inc., together with its successors and permitted assigns. Unless a specific Written Agreement expressly provides otherwise, references to the Company include any successor entity that lawfully acquires or assumes the Company's business operations while continuing the Company's business. Throughout this Manual, references to the Company are intended to preserve continuity if the Company's legal structure changes while maintaining the intent of this Corporate Operations Manual.
Company Representative
Company Representative means any owner, employee, contractor, consultant, assistant, volunteer, intern, or other individual authorized to act on behalf of the Company.
Confidential Information
Confidential Information means non-public information maintained by the Company or entrusted to the Company by Clients or other parties that is not intended for public disclosure. Confidential Information may include financial information, payment information, account credentials, business records, internal procedures, proprietary business information, and other non-public information designated as confidential or that a reasonable person would understand to be confidential.
Cookie
Cookie is a small text file placed on a user's device to support website functionality, preferences, security, analytics, or other legitimate purposes.
Creative Asset
Creative Asset means any creative material created, acquired, licensed, administered, or maintained by the Company. Creative Assets may include songs, lyrics, recordings, artwork, photographs, videos, written materials, templates, marketing materials, business documents, or other creative content.
Creative Catalog
Creative Catalog means the complete collection of Creative Works and Creative Assets maintained by the Company.
Creative Compatibility
Creative Compatibility means the mutual understanding that artistic interpretation is inherently subjective and that the Company exercises independent creative judgment throughout the creative process.
Creative Completion
Creative Completion means the point at which the Company has substantially performed the Services required under the applicable Written Agreement, including all included revisions.
Creative Pause
Creative Pause means a temporary suspension of a Project, agreed to or authorized by the Company, that does not terminate the Agreement.
Creative Process
Creative Process means the Company's independent artistic, technical, editorial, musical, production, writing, recording, and development methods used to create Creative Works.
Creative Work
Creative Work means an individual creative project or completed expression developed or administered by the Company. Examples include songs, musical compositions, recordings, lyric sheets, artwork, videos, and related creative materials.
Deliverables
Deliverables means the Client Deliverables identified in the applicable Written Agreement.
Derivative Works
Derivative Works means any modification, adaptation, revision, translation, remix, rearrangement, edit, synchronization, compilation, transformation, or other work based upon or incorporating all or any portion of a Creative Work, Master Recording, lyric, composition, recording, artwork, or other Intellectual Property protected by applicable law.
Device
Device is any computer, mobile phone, tablet, or other electronic device used to access the Website.
Effective Date
Effective Date means the date an applicable Agreement becomes legally binding. Electronic Communications accepted by the parties may constitute written agreements when permitted by applicable law.
Experience
Experience means a curated collection of Services, Client Deliverables, included features, and applicable pricing offered by the Company under a designated Experience name. The specific Services, Client Deliverables, included features, and pricing for the selected Experience are identified in the applicable Project Summary, Order Form, or other Written Agreement and are governed by the applicable Service Agreement, License Agreement, and other applicable Written Agreements.
Experience Description
Experience Description means the Company's written presentation of an Experience, including the Services, Client Deliverables, included features, limitations, pricing, and other information intended to help prospective Clients understand the Experience before purchase.
Experience Upgrade
Experience Upgrade means a change from one Experience to another, or any modification that increases the Services, Client Deliverables, included features, or value of a Project. An Experience Upgrade may include the purchase of additional Add-On Services, additional fees, revised production timelines, or other modifications approved by the Company.
Force Majeure Event
Force Majeure Event means an extraordinary circumstance beyond the reasonable control of the Company that materially affects its ability to conduct normal business operations.
Intellectual Property
Intellectual Property means all rights recognized under applicable intellectual property law, including copyrights, trademarks, service marks, trade dress, trade names, patents, trade secrets, proprietary rights, moral rights to the extent recognized by law, know-how, confidential business information, and all other protectable rights in Creative Works, Creative Assets, software, branding, recordings, designs, documentation, and other works created, developed, acquired, licensed, owned, or controlled by the Company and/or its Parent Company, as applicable.
License
License means the limited permission granted by the Company authorizing the Client to use specified Creative Works or Client Deliverables in accordance with the terms, conditions, restrictions, and scope set forth in the applicable License Agreement. A License grants only the rights expressly stated therein and does not transfer ownership of any Intellectual Property.
License Agreement
License Agreement means the Written Agreement that grants the Client specified rights to use, share, display, distribute, or otherwise use the Company's Creative Works and Client Deliverables. Unless otherwise stated, ownership of the underlying Creative Assets remains with the Company.
Master Recording
Master Recording means the final recorded sound recording embodying a completed musical performance or audio production from which copies, distributions, streams, downloads, broadcasts, or other reproductions may be made. Unless otherwise expressly transferred through a separate Written Agreement, the Company retains ownership of all Master Recordings.
Metadata
Metadata means administrative information associated with a Creative Work or Creative Asset. Metadata may include titles, dates, writers, ownership information, catalog numbers, release information, administrative identifiers, licensing information, and related records.
Operations Manual
Operations Manual means the collection of policies, procedures, standards, and supporting documents adopted by the Company to guide its internal operations. The Operations Manual is intended to function as a living document and may be reviewed, updated, expanded, or amended in accordance with the Company's Policy Review & Amendment Policy.
Parent Company
Parent Company means Written For Two, Inc., the sole member and owner of Lifetime Lyrics LLC, together with any successor entity that lawfully acquires ownership of the Company.
Party / Parties
Party means either the Company or the Client individually. Parties means both collectively.
Personal Use
Personal Use means non-commercial use by the Client or authorized individuals for personal enjoyment, private sharing, family use, weddings, memorials, anniversaries, birthdays, personal social media accounts, or similar non-commercial purposes, as permitted under the applicable License Agreement. Personal Use does not include Commercial Use.
Portfolio Use
Portfolio Use means the Company's authorized display or use of Creative Works for marketing, educational, archival, promotional, or business purposes as permitted by the applicable Written Agreements.
Project
Project means the specific commissioned creative engagement undertaken by the Company for the Client pursuant to an applicable Written Agreement, including the agreed Services, Creative Works, Client Deliverables, revisions, production activities, and related obligations associated with that engagement.
Project Completion
Project Completion means completion of the Company's contractual obligations for a Project.
Revision
Revision means a modification made to a project in accordance with the applicable service Experience, written agreement, or Company policy.
Scope of Work
Scope of Work means the services, Client Deliverables, revisions, consultations, timelines, responsibilities, limitations, and other work the Company has agreed to provide for a specific project as described in the applicable Service Agreement, Experience, approved add-on services, or other applicable Written Agreement.
Service Agreement
Service Agreement means the Written Agreement governing the Company's engagement to create, develop, produce, or deliver Client Deliverables. A Service Agreement establishes the scope of services, pricing, payment terms, project details, revisions, delivery expectations, and other terms applicable to the creative engagement.
Services
Services means the creative, consulting, writing, composition, production, recording, editing, licensing, distribution, administrative, and other professional services expressly agreed to be provided by the Company for a particular Project, as identified in the applicable Written Agreement.
Source Files
Source Files means the original or editable production materials used in creating a Project, including, without limitation, multitrack recordings, session files, project files, digital audio workstation sessions, stems, isolated tracks, MIDI data, editable graphics, artwork files, prompts, production notes, drafts, and other working materials. Source Files are not included as Client Deliverables unless expressly identified in an applicable Written Agreement.
Statement of Work
Statement of Work means a Written Agreement describing the scope, pricing, Deliverables, timeline, and Services applicable to a specific Project.
Third-Party Provider
Third-Party Provider means any independent individual, business, organization, technology provider, software platform, payment processor, distributor, cloud storage provider, communication provider, shipping carrier, or other external entity that provides products or services used by the Company.
Website
The website located at www.lifetimelyric.com and any associated webpages operated by Lifetime Lyrics LLC.
Written Agreement
Written Agreement means any written contract, service agreement, license, proposal, estimate, order confirmation, invoice, electronic acceptance, or other written document that establishes the terms of a business relationship with the Company. Electronic communications accepted by the parties may constitute written agreements when permitted by applicable law.
RELATIONSHIP TO OTHER POLICIES
The definitions contained in this document apply throughout the Corporate Operations Manual unless a specific policy provides a different definition for a particular purpose.
Where a conflict exists between a defined term and an applicable written agreement, the written agreement shall govern with respect to that specific relationship.
COMPANY STANDARD
The Company believes that consistent terminology supports consistent operations.
By establishing common definitions and interpretation standards, the Operations Manual promotes clarity, supports thoughtful decision-making, and provides a common framework for understanding the policies that guide the Company's operations.
As the Company grows and evolves, these definitions are intended to provide continuity while allowing the Operations Manual to adapt to changing business needs, technologies, and organizational structures.
